CONSTITUTION
Rule 1 The Club shall be known as the Lindenow South Football and Netball Club Incorporated, and shall hereinafter be called the Club.
Rule 2 The Club shall have as its objectives the promotion and propagation of the game of Australian Rules Football and Netball at both senior and junior levels.
Rule 3 Membership shall be granted to any person upon payment of the appropriate fees, but the General Committee shall have the right to refuse any application for membership. Any person refused membership shall be notified in writing of such refusal within seven days of such refusal, and may appeal to the General Committee and appear before it personally. Any such appeal shall be in writing and directed to the Secretary within fourteen days of date of written notification of membership refusal and shall be hear by the General Committee within fourteen days of receiving such appeal.
Rule 4 Office Bearers and General Committee members of the Club shall be financial members and shall consist of a President, Vice President, Secretary, Treasurer, Chairman of the Social Committee and a minimum of five committee members. (League Delegates, Players Representative both football & netball & Publicity Officer to be appointed by the General Committee).
Rule 5 The General Committee consisting of those in rule 4 of this constitution shall be solely responsible for the affairs of the Club.
Rule 6 The Executive Committee shall consist of the President, Vice President, Secretary and Treasurer plus two other members of the General Committee elected to the Executive Committee at the Annual Meeting. The Executive Committee may meet when required and are responsible to the General Committee to carry out the instructions of the General Committee to ensure the proper running of the Club. The President has only a casting vote in the case of a tied decision.
Rule 7 All Committee Members, coaches and players shall be financial members of the Club and fees shall be payable by the fourth round of the current season. Any coach or player who is not a financial member of the Club by the fourth game shall not be eligible to carry out their duties until such fees are paid.
Rule 8 An Auditor shall be appointed at the Annual General Meeting. The auditor must not be a committee or sub committee member of the Club.
Rule 9 The General Committee at their absolute discretion, may appoint as a Life Member a committee person or player who has played two hundred games (of which twenty junior games may be counted) or has given ten years continuous service to the Lindenow South Football Club or Netball Club or someone who has given outstanding service over a long period to the Club.
Rule 10 Life Members shall be entitled to sit on all Committee meetings, but shall not be entitled to vote, except under Rule 4 of this constitution.
Rule 11 The Annual General Meeting shall be held in a month suitable to the outgoing committee as soon as practicable after the final series of each year, but no later than 31st October. The Secretary shall give all members fourteen days notice by advertisements in the local paper, stating all business to be dealt with.
Rule 12 All offices shall be declared vacant at the Annual General Meeting and shall be filled again from written nominations or taken from the floor on the day of the Annual General Meeting. All nominations must be proposed and seconded by financial members and approved by the nominee. Voting shall be determined by a show of hands unless at least one third of members present demand a secret ballot.
Rule 13 Eleven members shall constitute a quorum at the Annual General Meeting and the procedure shall be as follows:-
a) Confirmation of the minutes of previous AGM
b) Receipt & adoption of the Presidents Annual Report
c) Receipt & adoption of the treasurers audited statement of receipts & expenditure.
d) Election of office bearers & committee members under rules 4 & 6.
e) Election of an auditor as under rule 8 of this constitution
f) Setting of annual membership subscription under rule 20 of this constitution
g) Social Committee Report
h) Any other business relevant to the AGM
Rule 14 Any members who HAVE paid their subscription for the previous season prior to the end of the home & away games shall be entitled to vote. Membership ticket or other satisfactory proof of membership shall be produced at the time of voting, if required. A list of Financial Members to be provided at AGM.
Rule 15 The President, Secretary, Treasurer shall be ex-officio of all committees and sub committees of the Club except the selection committee.
Rule 16 The General Committee shall have the power to fill all vacant positions during the year.
Rule 17 The General Committee shall meet at least once a month during the playing season and at least every two months during the off season. Meeting procedure shall be as follows:-
a) Confirmation of minutes of previous meeting.
b) Business arising from the minutes.
c) Correspondence.
d) Treasurers report & adoption, accounts for payment
e) Delegates report
f) Social Committee report
g) General Business
A quorum for General Meetings shall be five members. The President shall have only a casting vote in the event of a tied decision.
Rule 18 The President or Secretary may call a special General Committee meeting at any time.
Rule 19 Any office bearer or committee person absenting themselves from three consecutive committee meetings without satisfactory explanation to the General Committee shall be deemed to have vacated office.
Rule 20 The Annual Membership Subscription shall be fixed at the Annual General meeting and shall be payable by the fourth game of the current season.
Rule 21
a) All players shall be financial members of the Club. A list of financial members shall be available to members at all times.
b) Players must be financial members of the Club to win sponsors awards.
Rule 22
a) Any misconduct or misdemeanour by a member of the Club shall be dealt with by the General Committee as it deems fit. It shall have the power to expel any member deemed guilty of misconduct or misdemeanour. Any member deemed guilty of such conduct shall be requested to appear before the General Committee. Any member requested to appear before the General Committee shall be given seven days notice in writing by the secretary.
b) Any person, who in any manner shall cease to be a member of the Club under these rules, shall not be entitled to exercise any of the benefits and privileges of membership and shall forfeit all rights and claims upon the Club or its property. If any such person shall be an officer of the Club, or a member of the committee or a sub committee that person shall be deemed to have vacated that position.
Rule 23 The Social Committee shall be required to organise and run the Clubs social activities. All monies raised by the Social Club shall be handed to the Treasurer of the Club at the Annual General Meeting or as required by the General Committee.
The Annual meeting and election of office bearers of the Social Committee shall take place after the Club Annual General Meeting and before the start of the next season.
Rule 24 The President shall preside at the Annual General Meeting and all General and Executive Committee meetings, the Vice President to chair any meeting in the absence of the President. Should the President or Vice President be absent from any meeting then a member of the General Committee shall be nominated to chair that meeting.
Rule 25 The Secretary shall attend all committee meetings, take minutes of proceedings and transcribe them into books for that purpose. The Secretary shall keep the records of the Club, conduct the correspondence, call meetings, giving proper notice thereof and bring business before the meeting. The Secretary shall carry out the best interests and to advance the prosperity of the Club.
Rule 26 The Treasurer shall keep true and accurate accounts of the assets and liabilities of the Club and sums of monies received and expended by the Club. Shall deposit all monies without delay into bank accounts as laid down by the committee and shall issue receipts for all monies received.
Rule 27 At the Annual General meeting the Treasurer shall present duly audited books of all accounts held in the name of the Club and a Financial Statement at each General Committee meeting.
Rule 28 All accounts for payment shall be paid by cheque and be signed by any two of the following:- President, Secretary, Treasurer or elected Committee person nominated by the General Committee.
Rule 29 Honorariums, if any to be paid to any office bearer shall be recommended by the General Committee and approved at the Annual General meeting.
Rule 30 The Selection Committee shall consist of four persons, one of whom shall be elected by the General Committee and hold the position of Chairman of Selectors. The coach of each team shall be members. The thirds coach shall advise the Selection Committee of any thirds player capable of senior football. The Selection Committee have the right to review and if deemed fit, change their originally selected team. A selector absenting himself from two consecutive meetings may have their seat declared vacant and the General Committee shall fill the vacancy. The General Committee may appoint a deputy selector in the event of a member of the selection committee being unavailable.
Rule 31 A copy of this constitution with any amendments thereof and certified by the President and Secretary of the General Committee, shall be kept by the secretary and open for inspection by members at any reasonable time. Any person on their first election to be a member of the committee, shall be supplied with a copy of this constitution and any amendment thereof.
Rule 32 The General Committee shall be the sole authority for the management of the business affairs, concerns of the Club and interpretation of these rules and regulations made thereunder and the decision of the General Committee shall be kept by the Secretary and open for inspection at any reasonable time.
Rule 33 Any parts of the constitution may be rescinded, varied or added to, or any new rules framed on notice of motion being presented at an Annual General Meeting or Special General Meeting. Any change to become effective only on a three quarter majority of financial members present at such meeting voting in favour. The relevant body to be notified of any constitutional changes (amendments).
Rule 34 The Secretary under the direction of the General Committee or a request in writing from ten or more members shall call a Special General Meeting after fourteen days but not more than thirty days upon receipt of such direction or written request. The reason for such a Special General Meeting must be clearly stated in the local press fourteen days prior to such a meeting. Twenty members shall form a quorum at a Special General Meeting.
Rule 35 The General Committee shall have the power to make such By Laws as may be deemed necessary for carrying out the objectives of the Club and to vary or rescind such laws from time to time, provided always that such By Laws shall not interfere with the constitution as written herein.
Rule 36 In the event of a dispute arising amongst players, the captain or players representative shall bring the facts before the General Committee for arbitration.
Rule 37
a) Coaches shall be appointed annually be the incoming General Committee, with the Senior Coaching position being filled first. The Senior Coach then sits with the General Committee to review all other coaching positions.
b) Advertising of all coaching positions shall be at the discretion of the General Committee.
Rule 38 The Coach shall be responsible for appointing a Captain for each team. Should a playing Coach not wish to captain the side he may appoint players as captain and vice captain with the approval of the General Committee.
Rule 39 Visitors to the Club will not be supplied with liquor in the club premises unless in the company of a member of the Club. Such visitors must be signed in by a member in the clubs guest register.
Rule 40 The Club colours shall be Red, White & Blue and the mascot a Swamphawk. Any uniform or other article supplied by the Club shall remain the property of the Club.
Rule 41 In the event of the Club being disbanded, the assets and property after payment of all just debts and liabilities shall not be distributed to members, but shall be distributed to another non profit sporting organisation or a fund or funds exclusively for charitable purposes.
