NOTICE TO WOODVILLE DISTRICT BASKETBALL CLUB COMMUNITY:

Recently the management committee of the Woodville District Basketball Club Inc received a request to call a Special General Meeting via a petition.

Woodville District Basketball Club does not have a clear register of members and a constitution that has a broad definition of members giving rise to question who are considered to be members of the club.

External advice has been sought on the matter and this has highlighted similar questions surrounding the definition of a member.

Given this discrepancy, the management committee have been unable to ascertain the validity of the petition requesting the Special General Meeting at this point in time. Furthermore, if a special general meeting were to be called, there is a lack of clarity as to who can be invited to attend, how we make contact with those that can be invited to attend (eg Life members with insufficient contact records) and who is entitled to vote at the SGM.

Legal advice is being sought in order to resolve this issue.

Whilst the club understands that there are timeline obligations to meet with regards to the calling of a Special General Meeting from the time such a request is made, the club is unable to call a special general meeting with the current uncertainty and lack of clarity. Once there is clarity around this issue, then a Special General Meeting can be called should the request fulfil the constitutional requirements.

Furthermore, the management committee have been working on many positive improvements to the club off the court and remain dedicated to the immediate, short and long term prospects of the club. To achieve this it has to consider all operational, financial and management aspects that will make the club’s goals achievable.
